    1. If a Force Majeure Event occurs in relation to either Party which affects or may affect the performance of any of its obligations under this Agreement, it shall forthwith notify the other Party as to the nature and extent of the circumstances in question.
    2. Neither Party shall be deemed to be in breach of this Agreement, or shall otherwise be liable to the other, by reason of any delay in performance, or the non-performance, of any of its obligations under this Agreement, to the extent that the delay or non-performance is due to any Force Majeure Event of which it has notified the other Party, and the time for performance of that obligation shall be extended accordingly.

This Agreement together with all Schedules constitutes the complete and final agreement of the Parties pertaining to the understanding herein and supersede the Parties’ prior agreements, understandings, and discussions relating to the contents of this Agreement.

No modification or amendment to this Agreement shall be effective unless made by an instrument in writing, which specifically identifies this Agreement and is executed by each Party hereto.

    1. If any provision (or part of a provision) of this Agreement is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force.
    2. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties.
